Ms. Nattaya is a partner attorney at the firm, with over 13 years of experience advising clients on Initial Public Offerings (IPOs) and listings on the LiVE Exchange, Market for Alternative Investment (mai) and the Stock Exchange of Thailand (SET). She also has experience in both domestic and international capital markets (Bursa Malaysia). She also has experience advising on corporate bond issuances, mergers and acquisitions, corporate governance, corporate and commercial, real estate investment trusts (REITs) and the Personal Data Protection Act (PDPA).

Capital Markets

  • Advised KJTS Group Berhad (“KJTS”), a mechanical ventilation and air-conditioning (MVAC) contractor specializing in energy and building resource management based in Kuala Lumpur, Malaysia, on its initial public offering (IPO) and listing on the ACE Market of Bursa Malaysia. On the first trading day, KJTS shares peaked at RM 0.50, representing an increase of RM 0.23 or 85.19% from the IPO price of RM 0.27 per share, with a market capitalization of RM 58.86 million (approximately USD 12.43 million) at the IPO price.
  • Advised TBN Corporation Public Company Limited, a leading low-code application development company in Thailand and Asia, on its IPO and listing on the Market for Alternative Investment (MAI) in compliance with the regulations of the Securities and Exchange Commission of Thailand. On the first trading day, the share price opened at THB 50, increasing by THB 10.50 or 61.76% from the IPO price of THB 17.00 per share, raising THB 425 million (approximately USD 12.3 million).
  • Advised NR Instant Produce Public Company Limited (“NRF”), a leading sustainable food producer focusing on (1) ethnic foods, (2) plant-based products, and (3) wellness foods, on debt restructuring of a bond series (NRF254A) with a principal amount of THB 1.3 billion (approximately USD 31 million).
  • Advised Sabuy Technology Public Company Limited (“SABUY”), a leading provider of top-up kiosks and vending machines, on the restructuring of four outstanding bond series (SABUY258A, SABUY254A, SABUY24DA, and SABUY263A) in November and December 2024, with a total principal amount of THB 4 billion (approximately USD 93 million). The restructuring involved extensions of repayment periods and interest rate adjustments, serving as a critical step in the company’s business recovery and transformation under its new management team.
  • Advised DHouse Pattana Public Company Limited, a property developer in northeastern Thailand with over 10 years of experience in constructing houses, townhomes, and commercial buildings, on its first bond issuance in 2025 to institutional and/or high-net-worth investors in Thailand, with a total value of up to THB 135 million (approximately USD 3.7 million).
  • Advised N.C. Housing Public Company Limited, a leading real estate developer in Thailand, on its first bond issuance in 2024 through a private placement to no more than 10 institutional investors (PP10), totaling THB 200 million (approximately USD 9 million).
  • Advised Watergate Hotel Co., Ltd. on the debt restructuring of its 2019 debentures. The advisory included amending the terms and conditions regarding repayment extension, collateral modifications, re-registration of mortgaged assets, and mortgage releases for its secured bonds due in 2023 with early redemption rights, with a total issue size of THB 300 million (approximately USD 5 million).
  • Advised Clover Power Public Company Limited, a renewable energy fuel producer and engineering services provider, on the issuance and offering of bonds to institutional and/or high-net-worth investors in Thailand as follows:
    • Series 2/2023: THB 300 million (approximately USD 6 million)
    • Series 1/2023: THB 400 million (approximately USD 6 million)
    • Series 1/2022: THB 500 million (approximately USD 14 million)
  • Advised DHouse Pattana Public Company Limited on its first bond issuance in 2022 to institutional and/or high-net-worth investors in Thailand, totaling THB 120 million (approximately USD 3 million).

Mergers and Acquisitions (M&A)

  • Advised Ditto (Thailand) Public Company Limited (“DITTO”), a comprehensive data and document management service provider, in its investment in 45,000,000 ordinary shares of Somapa Information Technology Public Company Limited, representing 18% of the total paid-up capital, with a total transaction value not exceeding THB 1,080,000,000 (approximately USD 30.28 million). The transaction involved an issuance of new ordinary shares by DITTO to pay for the acquisition under an Entire Business Transfer (EBT) process. DITTO paid the consideration by issuing up to 27,000,000 newly issued shares at a price based on the seven-day weighted average market price prior to the pricing date.
  • Advised Synergy Estate Co., Ltd. on a connected transaction involving the disposal of its 900,000 shares in Botanica Grand Avenue Co., Ltd. (“BGA”), representing 30% of BGA’s total shares, to Rompho Property Public Company Limited (“TITLE”), a connected person, for a total consideration of THB 367,724,980 (approximately USD 10.03 million).
  • Advised Sino Logistics Corporation Public Company Limited, a provider of international freight forwarding and logistics services, on the establishment of a joint venture company in Malaysia named Sino Worldwide Logistics Sdn. Bhd. The transaction included drafting a joint venture agreement. The joint venture has a registered capital of MYR 900,000, comprising 900,000 shares at MYR 1.00 per share (approximately USD 189,843).
  • Advised TQR Public Company Limited (“TQR”), a provider of reinsurance brokerage and insurance product development services, on its investment in Alphasec Co., Ltd. through the acquisition of 88,235 existing shares (valued at THB 15 million) and 88,236 newly issued shares (valued at THB 15 million), totaling 176,471 shares. After the transaction, TQR held 50% of Alphasec’s total shares, with a total investment of THB 30,000,070 (approximately USD 850,703).
  • Advised Sabuy Technology Public Company Limited, a leading provider of top-up and vending machines and payment services, on its acquisition of 150,061,118 ordinary shares in TBSP Public Company Limited (“TBSP”) from T.K.S. Technologies Public Company Limited (“TKS”), representing 48% of TBSP’s total issued shares, for a total investment value of THB 2,005,022,000 (approximately USD 66 million). The firm also advised on the disposal of 2,583,720 shares in Vending Plus Co., Ltd. (“VDP”), representing 86.12% of VDP’s issued shares, to TBSP for a total consideration of THB 1,022,522,000 (approximately USD 34 million).
  • Advised Sabuy Technology Public Company Limited on the acquisition of 311,699,434 newly issued ordinary shares in Nakhonluang Capital Public Company Limited (“NCAP”), representing 25% of its enlarged paid-up capital, at a price of THB 50 per share, for a total consideration of THB 779.248 million (approximately USD 22.52 million), and the acquisition of 574,500 shares in Buzzebees Co., Ltd. (“BZB”) from non-connected existing shareholders, for THB 970.80 million (approximately USD 30 million), representing 30% of BZB’s registered capital.
  • Advised Sabuy Technology Public Company Limited on its acquisition of 25,010 shares in iSoftel (Thailand) Co., Ltd. (“iSoftel”), representing 51% of its total issued shares. iSoftel holds 99% of Softel Communication (Thailand) Co., Ltd. (“Softel”). The transaction involved the transfer of the entire business from ISF Holding Co., Ltd. to Sabuy, with payment made by issuing 8,742,857 newly issued shares at THB 28 per share, totaling THB 244.8 million (approximately USD 7 million).
  • Advised Sabuy Technology Public Company Limited on the acquisition of 50% of the paid-up capital in Oops Network Co., Ltd. (“MKO”) and Redhouse Digital Co., Ltd. (“RH”). The investment involved the acquisition and transfer of all business assets and liabilities from MKO Media Holding Co., Ltd. (“MKO Holding”), established to support the investment. The consideration was paid by issuing 3,571,428 new shares at THB 28 per share, totaling THB 99 million (approximately USD 2.8 million).
  • Advised Sabuy Technology Public Company Limited (“Sabuy”) on the acquisition of all shares in Love Leasing Co., Ltd. (“LoveLeasing”) through its subsidiary, Sabuy Capital Plus Co., Ltd. (“SBCAP”), by acquiring up to 1,540,000 ordinary shares, representing 100% ownership, with a total consideration not exceeding THB 400,000,000 (approximately USD 10.94 million).
