MSC International Law Office acts as a legal counsel of Aurora Design Public Company Limited (“Aura”)
MSC International Law Office is pleased to have acted as legal counsel to Aurora Design Public Company Limited (“AURA”) in connection with the issuance and offering of AURA-ESOP W1, comprising 20,300,000 warrants allocated to the Company’s directors, executives, and employees.
MSC advised AURA on the structuring and key features of the warrants, the preparation of terms and conditions, and the corporate approval process. The transaction also included the issuance of 20,300,000 new ordinary shares (par value THB 1 per share) to accommodate the exercise of rights under the warrants.
On 19 December 2025, the first exercise date, warrant holders exercised 1,840,000 units at an exercise price of THB 10.47 per share, resulting in a total transaction value of THB 19,264,800 (approximately USD 615,194). Following the exercise, MSC assisted AURA with the amendment of paid-up capital to reflect the increase in share capital.
The transaction was led by Khun Sawita Suwansawat – Managing Partner, with key support from Khun Varisa Soponpis – Senior Associate and Khun Supawee Chantanawaranon – Associate.
AURA operates a retail business in gold jewelry, diamond jewelry, and gemstones, providing comprehensive end-to-end services across Thailand.
